These terms govern use of the Lumina ERP website and outline the baseline rules that apply to consulting engagements, payment, confidentiality, liability, and permitted site use.

Agreement to Terms

By accessing or using Lumina-ERP.com or engaging Lumina ERP, LLC for consulting services, you agree to be bound by these Terms of Service.

If you do not agree to these terms, do not use the site or our services.

Services Description

Lumina ERP, LLC provides ERP consulting services focused on Prophet 21 and related operational systems for wholesale and distribution businesses.

  • P21 extensions, DynaChange development, and business rule implementation.
  • API integrations, OAuth workflows, and third-party system connectivity.
  • Database optimization, reporting improvements, and SQL development.
  • Warehouse automation, inventory process design, and operational tooling.
  • Custom portals, dashboards, and internal productivity systems.
  • System administration, support, migration, training, and advisory services.

Engagement Terms

Specific deliverables, timelines, responsibilities, and fees are defined in individual statements of work, service agreements, or other written engagement documents.

If there is a conflict between a signed engagement document and these terms, the signed engagement document governs the applicable project scope.

Payment Terms

  • Invoices are due within 30 days unless a written agreement states otherwise.
  • Late balances may incur a fee of 1.5% per month on the unpaid amount where permitted by law.
  • Fees are quoted in U.S. dollars.
  • Approved travel and reasonable out-of-pocket expenses may be billed separately at cost.

Intellectual Property

  • Custom work product created specifically for a client engagement transfers to the client upon full payment unless otherwise agreed in writing.
  • Pre-existing Lumina tools, frameworks, templates, and methodologies remain the property of Lumina ERP, LLC.
  • We retain the right to use general knowledge, techniques, and experience gained during engagements.
  • All website content, branding, design, and materials remain protected by applicable intellectual property laws.

Confidentiality

We treat client business information and non-public operational data as confidential and do not disclose it to third parties except as required by law or as authorized under an applicable client agreement.

Limitation of Liability

  • To the fullest extent permitted by law, our total liability for a claim relating to a specific engagement will not exceed the fees paid for that engagement.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, business interruption, or lost data.
  • We are not responsible for issues caused by client-provided data, third-party systems, or actions taken outside the agreed scope.

Indemnification

You agree to indemnify and hold harmless Lumina ERP, LLC and its personnel from claims, damages, losses, and expenses arising from misuse of the site, violation of these terms, or infringement of third-party rights.

Termination

  • Either party may terminate an engagement with written notice as defined in the applicable agreement.
  • A party may terminate for material breach that remains uncured after any applicable notice period.
  • Upon termination, payment remains due for work completed through the termination date.
  • Confidentiality, liability, and intellectual property provisions survive termination where applicable.

Website Use

  • Do not use the site for unlawful purposes.
  • Do not attempt unauthorized access to any part of the site or supporting systems.
  • Do not interfere with site availability, performance, or security.
  • Do not reproduce, distribute, or derive from site content without permission.

Disclaimer of Warranties

The website and its content are provided "as is" without warranties of any kind, whether express or implied.

Consulting services are provided on a best-efforts basis and we do not guarantee any specific business outcome unless expressly stated in a signed agreement.

Governing Law and Disputes

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.

Before initiating formal proceedings, both parties agree to attempt good-faith resolution through direct discussion where practical.

Changes to These Terms

We may revise these terms from time to time. Continued use of the site or services after an update constitutes acceptance of the revised terms.
